Introduction
Welcome to Whats91 ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website located at whats91.com and our services provided therein.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.
Services Description
Whats91 provides technology solutions including but not limited to WhatsApp Cloud API integration, website development, app development, and Busy Software solutions. The specific services provided will be agreed upon in a separate Statement of Work or Service Agreement.
Payment Terms
3.1 Service Fees
All fees for our services will be specified in a written proposal, Statement of Work, or Service Agreement. Unless otherwise specified, all prices are quoted in Indian Rupees (INR).
3.2 Payment Methods
We accept payments through various payment gateways including but not limited to bank transfers, credit cards, debit cards, UPI, and other electronic payment methods.
3.3 Payment Schedule
- For project-based services, a non-refundable deposit of 50% of the total project fee is required before commencement of work.
- The remaining balance will be due upon project completion or as per the payment milestones outlined in the agreement.
- For subscription-based services, payments are due in advance according to the billing cycle selected (monthly, quarterly, or annual).
3.4 Late Payments
Payments not received by the due date will incur a late fee of 2% per month on the outstanding balance. We reserve the right to suspend services until payment is received.
3.5 Taxes
All fees are exclusive of applicable taxes (including GST), which will be charged additionally as per prevailing rates.
Payment Gateway Terms
4.1 Payment Processing
We use third-party payment processors to facilitate secure payments. By making a payment, you agree to the terms and conditions of these payment processors.
4.2 Data Security
All payment transactions are encrypted using industry-standard SSL technology. We do not store complete credit card information on our servers.
4.3 Verification
For security purposes, we may require additional verification for certain transactions, including but not limited to verification of identity, address, or payment details.
4.4 Refunds
Refunds, if applicable, will be processed through the original payment method. Refund policies for specific services are outlined in the respective service agreements.
4.5 Chargebacks
In the event of a disputed charge or chargeback initiated by you, we reserve the right to suspend services until the matter is resolved. You agree to reimburse us for any chargeback fees imposed on us by payment processors.
Intellectual Property
5.1 Client Content
You retain all ownership rights to content provided by you for use in our services.
5.2 Our Content
Unless explicitly transferred in writing, we retain ownership of all intellectual property created during the provision of services, including but not limited to code, designs, and workflows. Upon full payment, clients receive a non-exclusive license to use the deliverables for their intended purpose.
5.3 Third-Party Components
Some services may incorporate third-party components subject to their own licenses. Rights to such components are subject to the terms of those licenses.
Privacy and Data Protection
6.1 Data Collection
We collect and process personal data in accordance with our Privacy Policy and applicable laws.
6.2 Client Data
For services requiring access to client data, we will handle such data in accordance with applicable data protection laws and any specific data processing agreements.
6.3 Compliance
Both parties agree to comply with applicable data protection regulations, including but not limited to the Information Technology Act, 2000 and its amendments.
AI Integrations and Whats91 MCP
This section governs your use of Whats91 MCP and any integration that lets a third-party AI assistant — including a ChatGPT app or plugin — connect to approved Whats91 tools. It supplements the rest of these Terms.
7.1 Nature of the Integration
Whats91 may provide integrations that let you connect a supported third-party AI assistant to approved Whats91 tools and account-specific information, after you authenticate and authorize the connection. Available providers, supported capabilities, and features may change over time.
7.2 Third-Party Service Relationship
ChatGPT, OpenAI, and any other AI assistant or platform you connect are third-party services, used subject to their own terms and policies. To the extent permitted by applicable law, Whats91 is not responsible for the availability, outputs, decisions, outages, or independent data practices of a third-party AI platform. This integration does not imply endorsement, certification, sponsorship, or partnership by OpenAI or any other AI platform provider. Nothing in this section limits any right you have under applicable consumer-protection law that cannot lawfully be disclaimed.
7.3 Your Responsibilities
- Connect only accounts you are authorized to use
- Review the permissions requested before authorizing a connection
- Protect your login credentials and authentication details
- Revoke access when it is no longer required
- Ensure your prompts and any requested actions are lawful
- Ensure you have the authority to process any customer or contact data you route through the AI integration
7.4 AI-Output Limitations
AI-generated explanations, summaries, or recommendations may be inaccurate, incomplete, or outdated. You should independently verify important information before relying on it. Whats91's underlying structured tool data and an AI assistant's interpretation of that data are not necessarily the same thing, and Whats91 does not control how a connected assistant phrases or presents a response.
7.5 No Fully Autonomous Authority
A connected AI assistant must not be treated as having independent authority to make legal, financial, contractual, or other high-impact decisions on your behalf. Where write actions (such as drafting a campaign or submitting a template) exist or are introduced, you remain responsible for reviewing and confirming them before they take effect.
7.6 Acceptable Use of the AI Integration
- Access another customer's data
- Bypass permissions or access controls
- Scrape or extract data beyond the intended purpose of a tool
- Submit malware or prompt-injection content
- Interfere with the security of the service
- Misuse personal data
- Violate WhatsApp, Meta, OpenAI, or other applicable third-party terms
- Engage in unlawful, fraudulent, deceptive, or abusive activity
- Reverse engineer or attempt to circumvent rate limits or safeguards
7.7 Service Changes and Suspension
We may add, modify, limit, or remove AI integrations or tools, temporarily disable a connection for security, legal, maintenance, or abuse-prevention reasons, or require you to renew your authorization when permissions or a provider's requirements change. Section 11.1 (Amendments) governs how changes to these Terms themselves take effect.
7.8 Account and Team Responsibility
Account owners and administrators are responsible for granting team members appropriate permission to connect, view, or revoke AI integrations on the account.
7.9 Ownership and Data Rights
Section 5 (Intellectual Property) applies to the AI integration: Whats91 retains ownership of the Whats91 MCP integration and tools, you retain ownership or lawful control of your own data, and Whats91 processes only what is reasonably necessary to respond to a request made through the integration. Connecting an AI assistant does not transfer ownership of your data to Whats91 or to any AI platform provider — Whats91 only has the limited right needed to transmit a requested tool result back to the AI service you chose to connect.
7.10 Support and Complaints
For MCP connection problems, security concerns, or app/plugin complaints, contact us through the details in Section 12 (Contact Information). Privacy-specific requests are handled as described in our Privacy Policy.
Limitation of Liability
8.1 Service Availability
While we strive to provide uninterrupted services, we do not guarantee that our services will be available at all times. We are not liable for any downtime, service interruptions, or delays.
8.2 Indirect Damages
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
8.3 Liability Cap
Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the specific service giving rise to such claim in the preceding six (6) months.
Termination
9.1 Termination by Either Party
Either party may terminate the service agreement with written notice as specified in the service contract.
9.2 Termination for Cause
We reserve the right to terminate services immediately if you breach these Terms, fail to pay fees when due, or engage in any illegal or harmful activities.
9.3 Effect of Termination
Upon termination, you remain liable for any outstanding payments. Provisions that by their nature should survive termination shall survive, including payment obligations, intellectual property provisions, and limitations of liability.
Dispute Resolution
10.1 Informal Resolution
Parties agree to attempt to resolve any disputes informally by contacting each other directly.
10.2 Mediation
If informal resolution is unsuccessful, parties agree to seek mediation before pursuing legal remedies.
10.3 Governing Law and Exclusive Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law and Sections 10.1 and 10.2, the courts of competent jurisdiction in Ujjain, Madhya Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or our services.
General Provisions
11.1 Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.
11.2 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, fire, or governmental actions.
11.3 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to any person or entity without your consent.
11.4 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
11.5 Entire Agreement
These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and us regarding our services.
